Terms of Use

These Terms of Use are an agreement between you and the developer of ChatMD Studio. By installing or using the app, you agree to them. You must be legally able to enter this agreement where you live. If you use the app for an organisation, you confirm that you have authority to accept these terms for it.

Subject to these terms and any applicable Microsoft Store licence rules, you receive a limited, non-exclusive, non-transferable licence to install and use ChatMD Studio on Windows devices you own or control for lawful personal or internal business purposes. You may not sell, sublicense, rent or distribute the app except with the developer's written permission.

Your files remain yours. As between you and ChatMD Studio, you keep the rights you already have in anything you open, write, import or convert. The app does not claim ownership of that content merely because you use it.

You are responsible for having the rights needed to use the content and for reviewing changes before saving or sharing them. Keep independent backups of important files. Third-party rights and the terms of an AI provider may still apply to material you supply or receive through that provider.

File formats do not all preserve the same features. A conversion or edit can flatten or omit formulas, layout, images, annotations or other structure when the destination format cannot represent them. Review route warnings and the output before replacing, publishing or relying on an important file.

Some ChatMD Studio features may be free and others may require a purchase. The exact price, included features and any important limits are shown in the Microsoft Store or in the app before you buy. No recurring charge applies unless it is clearly described as recurring and you expressly approve it.

Purchases, billing and refund eligibility are handled under the terms of the store or payment provider used for the transaction, together with any rights that cannot be excluded by law. Features and prices can vary by version, market and availability; these terms do not promise that a particular feature will always be free or offered at a particular price.

An AI provider account, subscription or usage charge is separate from any ChatMD Studio purchase. ChatMD Studio does not include or resell access to Claude Code, Codex, Ollama models or another provider. Your provider's plan, usage limits and charges remain between you and that provider.

AI features are optional. Ask & Chat, guided knowledge capture and AI-written review require a compatible assistant that you provide, install and configure. They may use local Ollama or a third-party command-line tool signed in under your own account. When a third party is used, its own terms, privacy policy, usage limits and possible charges apply. The Privacy Policy explains what information may leave your device when you start a network feature.

AI output can be inaccurate, incomplete or inappropriate. It is not professional, legal, medical or financial advice. Review it before relying on it, publishing it or using it to make an important decision. Some AI actions can propose or make changes to files when you start them; check those changes and keep backups.

Do not use ChatMD Studio to break the law, violate another person's rights, distribute malicious code, interfere with the app or its services, bypass access or payment controls, or help someone else do those things. You remain responsible for the content you choose to process and for how you use the results.

ChatMD Studio, including its software, design, branding and documentation, is owned by the developer or its licensors and is protected by intellectual-property laws. It is not open source. Except where applicable law permits it despite this restriction, you may not copy, modify, reverse engineer, decompile, extract, redistribute or create a competing derivative of the app.

You may view the website for personal or internal informational use. Unless the developer gives written permission or applicable law allows it, you may not reproduce, republish, sell, license, remove ownership notices from, or use that material to create or market a competing product.

Third-party names, logos and other materials remain the property of their respective owners. Their appearance identifies compatibility or availability and does not transfer rights or imply sponsorship unless expressly stated.

The app may receive fixes, security updates and feature changes. Features can change, become paid, depend on third-party tools, or be discontinued. Reasonable efforts will be made to avoid disrupting ordinary local files, but uninterrupted or permanent availability is not promised. You remain responsible for keeping copies of files and exports you need.

If you ask the app to install Git, Ollama, a model or another compatible tool, Microsoft winget, the package publisher or the download host may be used. Those third-party tools remain governed by their own licences and terms.

You may stop using ChatMD Studio at any time by uninstalling it. If you materially breach these terms and do not fix the breach after reasonable notice when a fix is possible, your licence to use the app may end. You must then stop using and remove the app. Ending the licence does not transfer ownership of your files to the developer.

The sections about ownership, disclaimers, liability, governing law and any payment obligation already incurred continue to apply after the licence ends.

To the fullest extent the law allows, ChatMD Studio is provided “as is” and “as available”, without express or implied warranties, including warranties of merchantability, fitness for a particular purpose and non-infringement. The app is a tool for working with your own files; no software, conversion or AI output is guaranteed to be error-free.

These disclaimers do not exclude warranties or remedies that applicable law does not allow to be excluded.

To the fullest extent the law allows, the developer is not liable for indirect, incidental, special, consequential or punitive loss, or for lost data, profits, revenue, business or opportunity arising from the app or these terms.

To the fullest extent the law allows, the developer's total liability arising from the app or these terms will not exceed the amount you paid for ChatMD Studio and its relevant paid features during the 12 months before the event giving rise to the claim. If you paid nothing, the developer's total liability is zero to the fullest extent the law allows. This limit does not apply to fraud, wilful misconduct, personal injury caused by negligence, or any liability that applicable law does not allow to be limited.

These terms are governed by the laws of the State of Ohio and the federal laws of the United States that apply, without regard to conflict-of-law rules. Subject to rights that cannot be waived where you live, any dispute that cannot be settled informally must be brought in the state or federal courts located in Ohio.

This section does not take away mandatory rights. Consumer law where you live may give you rights or remedies that cannot be waived, and those rights continue to apply. A Microsoft Store purchase is also subject to Microsoft's applicable purchase and refund terms.

These terms may be updated when the app, its business model or legal requirements change. The date at the top identifies the current version. Material changes will be communicated in the app or on this website when appropriate and will apply prospectively. Where the law permits, continuing to use the app after updated terms take effect means you accept them.
